Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Tropic Endeavors, LLC (“EventPix,” “we,” “us,” or “our”) and govern your access to and use of EventPix, eventpix.photo, and any related websites, applications, features, tools, and services we provide (collectively, the “Service”). EventPix may also be offered as a feature inside VowSpace.

By using the Service, you also agree to our Privacy Policy, which explains how we collect, use, and protect personal information.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

2. Eligibility

You must be at least eighteen (18) years old and capable of forming a legally binding contract to use the Service.

3. Description of Service

EventPix is a photo sharing and slideshow service for events. Event organizers create albums and share upload links or QR codes with guests. Guests may upload photos and videos, and organizers may moderate and display approved media on a live slideshow and in galleries.

4. Changes to These Terms

We may update these Terms from time to time. If we do, we will update the “Last updated” date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

5. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to notify us promptly of any unauthorized use or suspected security breach.

6. User Content and Ownership

“User Content” means photos, videos, text, and other content submitted, uploaded, transmitted, or otherwise made available through the Service by you or your guests.

You (and your guests) retain ownership of your User Content. EventPix does not claim ownership of User Content.

You are solely responsible for User Content you upload or share through the Service and represent that you have all rights necessary to submit it and grant the rights described in these Terms.

7. License to EventPix (Service Operations Only)

By submitting User Content, you grant EventPix a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, cache, reproduce, process, create derivatives solely as needed for technical delivery (for example thumbnails, transcoding, resizing), display, perform, distribute, and use your User Content only as reasonably necessary to:

  • operate and provide the Service,
  • maintain, secure, and improve the Service,
  • troubleshoot, support, and enforce these Terms.

This license continues until your User Content is deleted from the Service, subject to reasonable backup, caching, archival, and legal retention requirements.

Important: EventPix does not require, request, or receive marketing rights to use your User Content outside operating the Service.

8. License to Event Organizer (Event Use and Promotion)

When you upload User Content to an event album, you grant the event organizer (and the organizer's designated admins) a worldwide, non-exclusive, royalty-free license to use, reproduce, display, distribute, and create derivative works of your User Content for event-related purposes, including:

  • slideshow display and galleries,
  • providing downloads to invited guests and participants,
  • creating event recaps, keepsakes, and communications,
  • sharing publicly (for example on social media and websites),
  • using in promotional materials related to the event or the organizer.

8.1 Irrevocability and Copies Already Shared

To the maximum extent permitted by law, the organizer license is irrevocable for copies that have already been shared, downloaded, printed, posted, or otherwise created before any removal request or deletion from the Service. Deleting content from the Service (when available) may prevent future access through EventPix, but it does not require the organizer or others to retrieve or delete copies already distributed.

8.2 Optional Limit

Unless the organizer obtains additional permission from you, the organizer may not sell your User Content as standalone stock media or license it for unrelated commercial use that is not connected to the event or the organizer's business promotion.

9. Organizer Responsibilities

Organizers are responsible for how they use User Content and for obtaining any necessary permissions, releases, or consents from uploaders and people appearing in photos or videos. EventPix is not responsible for organizer use of User Content outside the Service.

10. Removal Requests

If you want a photo or video removed, contact the event organizer first. EventPix may also remove content from the Service if feasible and appropriate, but EventPix cannot retrieve or delete copies that have already been downloaded, shared, or reposted by the organizer or others.

11. Automated Systems, AI, and Machine Learning

You acknowledge and agree that EventPix may use certain User Content and usage signals to develop, train, fine-tune, evaluate, and improve automated systems, including machine learning and AI technologies, for purposes such as feature improvement, organization, recommendations, fraud or abuse detection, personalization, photo handling, content moderation support, and customer support tooling. Personal information will be handled in accordance with our Privacy Policy and applicable law.

12. Content Storage, Backups, and No Guarantee of Restore

The Service is provided as a convenience for collecting and sharing event photos and videos. We perform routine backups and maintenance, but we do not guarantee that uploads will never be lost, corrupted, deleted, or become unavailable. We do not guarantee that any restore will be successful.

EventPix is not a photo backup or archival service. You are encouraged to download and back up important content promptly.

13. Content Retention

Photos and videos are retained for the duration specified by your plan (currently 6 to 12 months depending on tier). After the retention period, content may be permanently deleted. You are responsible for downloading your content before the retention period expires.

14. Acceptable Use

You agree not to:

  • use the Service for unlawful purposes,
  • upload malware or harmful code,
  • harass, abuse, or harm others through the Service,
  • infringe the rights of others,
  • attempt unauthorized access to any portion of the Service,
  • scrape, crawl, or harvest data without written permission,
  • interfere with or disrupt the Service or its systems.

We may investigate and take action for suspected violations, including removal of content and suspension or termination.

15. Third-Party Services and Links

The Service may integrate with or link to third-party websites, services, tools, or content. We do not control third parties and are not responsible for their content, policies, availability, or actions. Your use of third-party services is at your own risk and subject to their terms.

16. Payments, Refunds, and Taxes

Purchases may be processed by third-party payment processors (for example Stripe) and their terms may apply.

Payments are non-refundable except as described in our Refund & Cancellation Policy or as required by law. If you experience a technical issue that prevents reasonable use of the Service, contact support and we may attempt to resolve the issue or provide a refund at our discretion.

You are responsible for applicable taxes.

17. Electronic Communications

By using the Service, you consent to receive service-related communications electronically (email, in-app notices, or similar).

18. Copyright and DMCA Policy

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (“DMCA”). DMCA notices or counter-notices must include all information required under 17 U.S.C. §512 and should be sent to our legal contact listed below.

19. Suspension, Termination, and Content Removal

We may suspend or terminate access to the Service or remove User Content at any time if we believe these Terms are violated, risk is created, or misuse occurs. You may stop using the Service at any time.

20. Disclaimers of Warranties

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be available, uninterrupted, error-free, or secure, or that data will not be lost or corrupted.

21. Limitation of Liability

To the fullest extent permitted by law, EventPix shall not be liable for any indirect, incidental, special, consequential, exemplary, or emotional damages, including loss of data, photos, profits, goodwill, or business interruption. EventPix's total liability shall not exceed the greater of: (a) the amount you paid to EventPix in the twelve (12) months prior to the claim, or (b) $100, or $0 if you are a free user.

22. Indemnification

You agree to indemnify, defend, and hold harmless Tropic Endeavors, LLC and its owners, officers, employees, contractors, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or violation of these Terms.

23. Force Majeure

We are not liable for failures or delays caused by events beyond our reasonable control, including outages, natural disasters, cyberattacks, labor disputes, or third-party service failures.

24. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Except where arbitration applies, disputes shall be brought exclusively in the state or federal courts located in or serving Indian River County, Florida, and you consent to jurisdiction and venue there.

25. Mandatory Arbitration and Class Action Waiver

Before arbitration or litigation, you agree to attempt informal resolution by contacting us at the legal email below. Unresolved disputes shall be resolved by final and binding arbitration administered by JAMS under its applicable rules.

You and EventPix agree to bring claims only in an individual capacity and not as part of any class, collective, or representative action.

You may opt out of arbitration within 30 days of first acceptance by emailing us with subject “ARBITRATION OPT OUT” and your account email.

26. Time Limit to Bring Claims

Any claim must be brought within one (1) year of accrual or it is permanently barred, to the extent permitted by law.

27. Miscellaneous

Severability, no waiver, assignment, and entire agreement principles apply. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law survive termination.
